OrelFlow provides a multi-channel communication platform that enables businesses to manage customer interactions across various messaging channels, including but not limited to WhatsApp, Facebook Messenger, Instagram, Telegram, and Email, within a unified inbox. The Services include features such as AI-powered automation and chatbots (utilizing integrations with models like OpenAI, Claude, and Gemini), a visual flow builder for creating automated workflows, team collaboration tools, and advanced analytics.

3. Account Registration and Security

3.1. Eligibility: To use our Services, you must be at least 18 years old and capable of entering into a binding contract. 3.2. Account Creation: You must provide accurate, current, and complete information during the registration process. You are solely responsible for all activities that occur under your account. 3.3. Account Security: You are responsible for safeguarding your password and any other credentials used to access your account. You will notify us immediately of any unauthorized use of your account. OrelFlow will not be liable for any loss or damage arising from your failure to comply with this security obligation.

4. User Responsibilities and Acceptable Use

4.1. Compliance with Laws: You agree to use the Services in compliance with all applicable local, state, national, and international laws and regulations, including but not limited to privacy laws, anti-spam laws, and intellectual property laws.

4.2. Compliance with Third-Party Platform Policies: Your use of the Services to interact with any third-party messaging platform (e.g., WhatsApp, Facebook, Instagram) is subject to that platform’s terms of service, acceptable use policies, and business policies. You are solely responsible for complying with these policies, including, without limitation, the WhatsApp Business and Commerce Policies. A breach of any third-party platform’s terms will be considered a breach of these Terms.

4.3. Prohibited Activities: You agree not to, and not to permit any third party to: a. Send unsolicited or unauthorized advertising, promotional materials, spam, or any other form of duplicative or unsolicited messages. b. Use the Services to harass, abuse, defame, or otherwise infringe on the rights of others. c. Transmit any material that contains software viruses, worms, Trojan horses, or any other harmful computer code, files, or programs. d. Reverse engineer, decompile, or otherwise attempt to discover the source code of the Services. e. Use the Services to store or transmit infringing, libelous, or otherwise unlawful or tortious material. f. Interfere with or disrupt the integrity or performance of the Services or the data contained therein. g. Attempt to gain unauthorized access to the Services or its related systems or networks.

5. Fees, Payment, and Subscriptions

5.1. Subscription Plans: The Services are provided on a subscription basis. Fees for our subscription plans are detailed on our website’s pricing page. We reserve the right to modify our pricing at any time, and we will provide you with reasonable notice of any changes. 5.2. Billing: You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). You must provide us with a valid payment method. By submitting such payment information, you automatically authorize OrelFlow to charge all subscription fees incurred through your account. 5.3. Taxes: All fees are exclusive of any applicable taxes, levies, duties, or similar governmental assessments, which you are responsible for paying. 5.4. Refunds: All fees are non-refundable, except as required by law or at our sole discretion.

6. Intellectual Property Rights

6.1. Our IP: OrelFlow retains all rights, title, and interest in and to the Services, including all related intellectual property rights. The OrelFlow name, logo, and the product names associated with the Services are trademarks of OrelFlow or third parties, and no right or license is granted to use them. 6.2. Your Content: You retain all rights, title, and interest in and to the data, text, images, and other content that you upload, transmit, or store using the Services (“Your Content”). You grant OrelFlow a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and transmit Your Content solely as necessary to provide the Services to you.

7. Confidentiality

“Confidential Information” means all information disclosed by a party to the other party, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential. Each party agrees to protect the other’s Confidential Information with the same standard of care it uses to protect its own confidential information and not to use or disclose such information except as necessary to perform its obligations under these Terms.

8. Term and Termination

8.1. Term: These Terms will remain in effect as long as you have an active subscription or are using the Services. 8.2. Termination by You: You may terminate your account at any time by following the instructions within the Services. 8.3. Termination by Us: We may suspend or terminate your access to the Services at any time, for any reason, including but not limited to, a breach of these Terms or the policies of underlying platforms like Meta.

9. Disclaimers and Limitation of Liability

9.1. Disclaimer of Warranties: THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ORELFLOW DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. 9.2. Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ORELFLOW, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

10. Indemnification

You agree to defend, indemnify, and hold harmless OrelFlow and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Nairobi, Kenya to resolve any legal matter arising from the Terms.

12. General Provisions

12.1. Modifications: We reserve the right to modify these Terms at any time. We will provide notice of such changes by posting the updated Terms on our website. 12.2. Entire Agreement: These Terms constitute the entire agreement between you and OrelFlow and supersede all prior agreements. 12.3. Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.
